Terms of Service

General Introduction

Thank you for choosing to use our products and services (“Services”). The Services are provided by Simple Strata Solutions Inc. (“StrataPress”), located at Victoria, British Columbia, Canada.

We offer a document storage, management and sales service with a turn-key strata communication solution utilizing the internet, email and other online and mobile services. Your StrataPress Strata Owner’s portal is available online as long as there is an active StrataPress document management account associated with the Strata Corporation.

By using our services, you are agreeing to these terms, so please read them carefully. Additional terms will be introduced as StrataPress releases other services, and those additional terms become part of your agreement with us if you use those services.

These terms govern your access to and use of the services, including our website(s), APIs, dashboards, email addresses, notifications, applications, buttons, and widgets, and any information, text, graphics, photos or other materials uploaded, downloaded or appearing on the services (collectively referred to as “Content”). Your access to and use of the services are conditioned on your acceptance of and compliance with these terms. By accessing or using the services you agree to be bound by these terms.

Use of our Services

Usage specific disclaimers – including updates and opt out messaging

Your Property Management Company, or Strata Corporation, is responsible for the use of the services, for any content posted to the services, and for any consequences thereof. The Strata Corporation must follow any policies made available within the services.

Don’t misuse our Services. For example, don’t interfere with our services or try to access them using a method other than the interface and the instructions that we provide. You may use our services only as permitted by law. We may suspend or stop providing our services to you if you do not comply with our terms or policies or if we are investigating suspected misconduct.

You may use the services only if you can form a binding contract with StrataPress, and are not a person barred from receiving services under the laws of the British Columbia, Canada or other applicable jurisdiction. If you are accepting these terms and using the services on behalf of a company, organization, government, or other legal entity, you represent and warrant that you are authorized to do so. You may use the services only in compliance with these terms and all applicable local, provincial, national, and international laws, rules and regulations.

The services that StrataPress provides will continue to evolve and the form and nature of the services that StrataPress provides may change from time to time without prior notice to you. In addition, StrataPress may stop (permanently or temporarily) providing the services (or any features within the services) to you or to users generally and may not be able to provide you with prior notice. We also retain the right to create limits on use and storage at our sole discretion at any time without prior notice to you.

The services may include advertisements, which may be targeted to the content or information on the services, queries made through the services, or other information. The types and extent of advertising by StrataPress on the services are subject to change. In consideration for StrataPress granting you access to and use of the services, you agree that StrataPress and its third party providers and partners may place such advertising on the services or in connection with the display of content or information from the services whether submitted by you or others.

Some of our Services are available on mobile devices. Do not use such services in a way that distracts you and prevents you from obeying traffic or safety laws.

In connection with your use of the services, we may send you service announcements, administrative messages, and other information. You may opt out of some of those communications.

Business & Corporate uses of our Services

If you are using our Services on behalf of a business or corporation, that business accepts these terms. It will hold harmless and indemnify StrataPress and its affiliates, officers, agents, and employees from any claim, suit or action arising from or related to the use of the Services or violation of these terms, including any liability or expense arising from claims, losses, damages, suits, judgments, litigation costs and attorney’s fees.

Your StrataPress Account

You will need a StrataPress account in order to use our Services. You may create your own StrataPress account, or your StrataPress account may be assigned to you by an administrator, such as your employer or other institution. If you are using a StrataPress account assigned to you by an administrator, different or additional terms may apply and your administrator may be able to access or disable your account.

To protect your StrataPress account, keep your password confidential. You are responsible for the activity that happens on or through your StrataPress account. Try not to reuse your StrataPress account password on third-party applications. If you learn of any unauthorized use of your password or StrataPress account, please report the details to us immediately.

Our Warranties and Disclaimers

Services provided “as is” – all warranties excluded

We provide our services using a commercially reasonable level of skill and care and we hope that you will enjoy using them. But there are certain things that we don’t promise about our Services.

Other than as expressly set out in these terms or additional terms, neither StrataPress nor its suppliers or distributors make any specific promises about the services. For example, we don’t make any commitments about the content within the services, the specific functions of the services, or their reliability, availability, or ability to meet your needs. We provide the services “as is”.

Some jurisdictions provide for certain warranties, like the implied warranty of merchantability, fitness for a particular purpose and non-infringement. To the extent permitted by law, we exclude all warranties.

Liability for our Services

Specific to transactional losses – including damages and claims.

When permitted by law, StrataPress, and it’s suppliers and distributors, will not be responsible for lost profits, revenues, or data, financial losses or indirect, special, consequential, exemplary, or punitive damages.

To the extent permitted by law, the total liability of StrataPress, and its suppliers and distributors, for any claims under these terms, including for any implied warranties, is limited to the amount you paid us to use the services (or, if we choose, to supplying you the services again).

In all cases, StrataPress, and its suppliers and distributors, will not be liable for any loss or damage that is not reasonably foreseeable.Se

About these Terms

We may modify these terms or any additional terms that apply to a service to, for example, reflect changes to the law or changes to our services. You should look at the terms regularly. We’ll post notice of modifications to these terms on this page. We’ll post notice of modified additional terms in the applicable Service. Changes will not apply retroactively and will become effective no sooner than fourteen days after they are posted. However, changes addressing new functions for a service or changes made for legal reasons will be effective immediately. If you do not agree to the modified terms for a service, you should discontinue your use of that service.

If there is a conflict between these terms and the additional terms, the additional terms will control for that conflict.

These terms control the relationship between StrataPress and your Company or Strata Corporation. They do not create any third party beneficiary rights.

If you do not comply with these terms, and we don’t take action right away, this doesn’t mean that we are giving up any rights that we may have (such as taking action in the future).

If it turns out that a particular term is not enforceable, this will not affect any other terms.

The laws of the British Columbia, Canada will apply to any disputes arising out of or relating to these terms or the services. All claims arising out of or relating to these terms or the services will be administered by the courts of the province of British Columbia, Canada, and you and StrataPress consent to personal jurisdiction in those courts.
